Terms of Service

1. Agreement

By using Holosign (holosign.co and app.holosign.co), operated by Move47 LLC, you agree to these terms. If you do not agree, do not use the service.

2. The service

Holosign is an electronic signature platform that lets you upload documents, collect signatures, and generate audit trails. Electronic signatures created through Holosign are intended to be legally valid under the U.S. ESIGN Act, the EU eIDAS Regulation, and similar laws. However, we do not guarantee legal enforceability in every jurisdiction or for every document type.

3. Accounts

You must provide accurate information when creating an account. You are responsible for all activity under your account and for keeping your credentials secure.

You may not use the service for any unlawful purpose, to send documents containing malware, or to impersonate another person or entity.

4. Free and paid plans

Free plan: The free plan is provided as-is with no service level commitment. We reserve the right to modify, limit, or discontinue the free plan at any time. Free accounts that remain inactive for 180 consecutive days may be terminated and their data deleted after 30 days' notice by email.

Paid plan: Paid subscriptions are billed monthly through Stripe. You may cancel at any time; access continues until the end of your current billing period. We do not offer refunds for partial billing periods. Upon cancellation, you will have 30 days to export your data before it is deleted.

5. Your content

You retain all rights to the documents you upload. By using the service, you grant us a limited license to store, process, and transmit your documents solely to provide the e-signature service. We do not access, review, or use your documents for any other purpose.

6. Acceptable use

You agree not to:

• Interfere with or disrupt the service or its infrastructure
• Reverse-engineer, decompile, or attempt to extract source code
• Use automated means to access the service
• Exceed the usage limits of your plan
• Resell access to the service without our written consent

7. Termination

You may close your account at any time. We may suspend or terminate your account if you violate these terms, upon reasonable notice where practicable.

For free accounts, we may also terminate for prolonged inactivity as described in section 4. For paid accounts, we will provide at least 30 days' notice before any involuntary termination, except in cases of serious violation.

8. Limitation of liability

To the maximum extent permitted by law, Move47 LLC and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunity arising from your use of the service. Our total liability for any claim related to the service is limited to the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

9. Disclaimer

The service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure.

10. Indemnification

You agree to indemnify Move47 LLC against any claims, damages, or expenses arising from your use of the service or your violation of these terms.

11. Governing law

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. For users in the European Union, nothing in these terms affects your rights under mandatory local consumer protection laws.

12. Changes to these terms

We may update these terms from time to time. We will notify you of material changes at least 30 days in advance by email or by posting a notice on our site. Continued use after the effective date of updated terms constitutes acceptance.
